Terms of service
Last updated: 24 October 2026
1. About these Terms
These Terms of Service ("Terms") are a contract between you and Ojehs, Inc., a Delaware corporation that operates Varis ("Varis", "we", "us"). They cover the Varis website, dashboard, API, MCP server, execution gateway, CLI, and SDKs (together, the "Platform").
Section 12 requires you to resolve disputes through individual arbitration and waives class actions. You can opt out within 30 days of accepting these Terms, as Section 12.6 explains.
1.1 Acceptance. You accept these Terms when you create an account, sign in to the CLI, connect an agent, top up, publish a service, or otherwise use the Platform.
1.2 Organisations. If you use Varis on behalf of a company or other organisation, you accept these Terms for it and confirm that you have authority to bind it. "You" then means both you and that organisation.
1.3 Age. You must be at least 18 years old to use Varis.
1.4 Changes. We may update these Terms. For a material change, we notify you by email or in the dashboard at least 30 days before it takes effect. A change required by law, or one that addresses security or abuse, can take effect sooner. If you keep using Varis after a change takes effect, you accept it. If you don't agree, stop using Varis and close your account.
1.5 Privacy. The Varis Privacy Policy explains how we handle personal data. It forms part of these Terms.
2. Definitions
| Term | Meaning |
|---|---|
| Owner | The organisation that holds a Varis balance, agents, services, and earnings. Every new user gets a personal owner at signup. |
| User | A person who signs in to Varis and acts for one or more owners through a membership. |
| Agent | Software, including an AI agent or an AI assistant such as Claude or ChatGPT, that an owner authorises to discover and invoke services. |
| Agent credential | An agent key created in the dashboard, or an OAuth access token issued when you connect an AI assistant. |
| Device token | The credential varis login stores on a computer so the CLI can act for a user. |
| Buyer | An owner whose agents invoke services. |
| Provider | An owner that publishes services. |
| Service | A software capability a provider publishes on Varis and hosts on its own servers. |
| Invocation | One call an agent makes to a service through Varis. |
| Credits | The prepaid units used to pay for invocations. One credit equals US$0.0001. |
| Earnings | The amount a provider is owed for paid invocations that have settled: the full price of each. |
| Platform fees | What Varis charges: the buyer fee on each paid invocation, and the payout fee on each payout. |
3. Accounts, owners, and users
3.1 Business use. Varis is built for developers and businesses. You use it for purposes related to your trade, business, or profession.
3.2 Accurate information. Keep your account details accurate and current, including your name, email address, and payout details.
3.3 Owners and memberships. Balances, agents, services, and earnings belong to an owner, not to an individual user. Every user who belongs to an owner can act for it within the dashboard, CLI, and API. You are responsible for who you allow to act for your owner.
3.4 Security. Keep your password, device tokens, and agent credentials secret. Tell us at security@usevaris.com as soon as you suspect that any of them has been lost, stolen, or used without your permission.
3.5 Responsibility for activity. You are responsible for all activity under your account and your owner, including activity by your users and agents, until you revoke the affected credential.
4. Agents, credentials, and spend limits
Agents act on their own, and you are responsible for what they spend.
4.1 Your agents' actions. Every invocation made with one of your agent credentials is made by you, whether or not you reviewed or expected it. This includes invocations an AI agent decides to make on its own.
4.2 Spend limits. You can set limits on each agent: credits per day, credits per call, and the service categories it may use. A limit left blank means no limit, so that agent can spend your owner's entire balance, including on a single call. We enforce the limits you set. We are not responsible for spending that falls within them.
4.3 Connecting AI assistants. When you connect an AI assistant to Varis, you approve its spend limits on the consent screen. That connection creates an agent you can change or revoke at any time from the dashboard.
4.4 Revocation. Revoke a credential, an agent, or a signed-in computer as soon as you no longer trust it. Revocation stops new invocations. It does not undo invocations made before it.
4.5 Device tokens. A device token expires 180 days after it was last used.
varis logout, varis dracarys, and the devices page in your account settings
each revoke it.
5. Credits, top-ups, and expiry
Credits are a prepaid way to pay for invocations. They are not money, and refunds return credits, not cash.
5.1 Value. One credit equals US$0.0001. We show every price in US dollars.
5.2 Top-ups. You can buy credits for between US$15 and US$2,000 per top-up. Our payment processor, Stripe, takes the payment. When you save a card, you authorise us to charge it for each top-up you start. Credits reach your balance once Stripe confirms the payment.
5.3 Funding links. An agent can give a person a funding link when your balance runs short. Credits bought through that link go to your owner's balance, whoever pays.
5.4 What credits are not. Credits are not a deposit, a stored-value account, or a currency. They earn no interest. You can't sell them, transfer them to another owner, or exchange them for cash, except where these Terms or the law say otherwise.
5.5 Refunds. When an invocation is reversed, its credits return to your balance. Top-ups are not refundable in cash unless the law requires it, or we close your account under Section 10.3 without cause.
5.6 Expiry. Unspent credits expire if your owner has no account activity for 12 consecutive months. Account activity means a top-up, an invocation, a publish, or a user signing in. We email the owner's users at least 30 days before credits expire.
5.7 Free credits. Credits we give you for free, such as the $2 credit an owner receives for its first published service, first top-up, or first paid invocation, have no cash value. Each owner receives it once. You can't transfer or refund them. If we find credit farming or other abuse (Section 8), we may remove the free credits, reverse the invocations they paid for, and withhold the earnings those invocations produced.
5.8 Taxes. Prices do not include taxes. You pay any sales, use, value-added, or similar taxes that apply to your purchases.
5.9 Payment disputes. If you dispute a top-up with your bank, we may deduct the matching credits from your balance and suspend invocations until the dispute is resolved.
6. Part A: using services
This part applies when your agents discover and invoke services.
6.1 Who provides services. Independent providers build, host, and run every service on Varis. Varis handles identity, discovery, authorisation, metering, payment, and settlement. We do not run, control, or endorse any service, and we don't guarantee that a service is accurate, available, or fit for your purpose.
6.2 Price. You pay the price the service shows when your agent invokes it. That price includes the Varis buyer fee, 5% of the provider's price. Free services cost nothing.
6.3 How payment works. When your agent invokes a paid service, we hold the price from your balance, call the provider, and check the result. If the call succeeds, the hold settles and the provider earns. If it fails, the hold is released.
6.4 Automatic reversals. An invocation fails, and you keep your credits, when the provider returns an error, doesn't respond in time, or returns output that doesn't match the service's declared output schema. You don't need to ask.
6.5 Other complaints. An invocation that returns valid output settles, even if you're unhappy with the result. If you believe an invocation was charged in error, email hello@usevaris.com within 30 days with its request ID. We review each case and decide whether to reverse it.
6.6 Your inputs. We pass your agent's inputs to the provider. Send only data
you have the right to share. Don't send sensitive data to a service that uses
GET, because those inputs appear in the provider's server logs.
6.7 Outputs. You decide how to use what a service returns. Outputs, especially from AI services, can be wrong. Check them before relying on them for anything important.
6.8 Insufficient balance. If your balance can't cover an invocation, it fails without calling the provider, and your agent receives a funding link.
7. Part B: publishing services
This part applies when you publish services. You run your service; Varis lists it, routes calls to it, and pays you for the calls that succeed.
Your service
7.1 Publishing. Only a signed-in user can publish, and we record which user published each service.
7.2 Your responsibilities. You host and operate your service. You are responsible for its availability, security, and legality, and for making sure its name, description, instructions, schemas, method, and price are accurate.
7.3 Technical requirements. Your service must:
- Verify that each request comes from Varis, using
verifyRequestin the SDK or an equivalent check of our signature. - Return output that matches its declared output schema.
- Respond within the gateway's timeout.
7.4 Data you receive. Requests from Varis carry the inputs an agent sends, but no information about the buyer's identity. You decide what your service returns to a Varis caller. For any personal data you receive, you are an independent controller, and you comply with the privacy laws that apply to you.
7.5 Licence to Varis. You give us a worldwide, non-exclusive, royalty-free licence to list, describe, display, and route requests to your service, and to use its name and description to promote Varis, for as long as it is published.
7.6 Listing and ranking. Discovery results rank services by objective measures such as relevance, success rate, and response time. We don't guarantee any placement. We may refuse or remove a service that breaks these Terms or creates risk for buyers or for Varis.
7.7 Price changes. A new price applies to invocations that start after you publish it.
Earnings and payouts
7.8 Earnings. When a paid invocation of your service settles, your owner earns the full price you set. Varis charges its buyer fee to the buyer, on top of that price, so the fee never reduces your earnings.
7.9 Holding period. Earnings become transferable 14 days after the invocation settles. The holding period protects against card disputes and fraud.
7.10 Transfers and payouts. Once you complete payout onboarding with Stripe, we transfer your transferable earnings to your connected account once a month, on or around the 1st, once they total at least $50. Smaller amounts carry over to the next month. We deduct a payout fee of US$3 plus 1% of each payout, unless you agree a different fee with us in writing. We give you at least 30 days' notice before we raise the payout fee. Transfers are in whole cents, so any fraction of a cent left after the fee stays in your earnings for your next payout. Stripe then pays the transfer to your bank, usually within a few business days. Stripe's Connected Account Agreement also applies to you.
7.11 Supported countries. We currently pay providers in the United States, the United Kingdom, the European Economic Area, Canada, and Switzerland. If you are elsewhere, you can still publish and earn. Your earnings stay on your account until we support payouts in your country, and we can't promise when that will be.
7.12 Reversals after payment. If we reverse an invocation after its earnings reached you, for example because of fraud, a card dispute, or our error, we deduct the amount from your future earnings or recover it from your connected account.
7.13 Withholding. We may hold earnings while we investigate suspected fraud, abuse, or a breach of these Terms. We tell you why, unless the law or an investigation prevents it.
7.14 Taxes. You are responsible for taxes on your earnings. Stripe may collect tax information from you and issue tax forms that the law requires.
7.15 Converting earnings to credits. You can convert earnings into credits for your owner's balance. A conversion is final.
8. Acceptable use
These rules apply to everyone, including your agents. Don't use Varis to:
- Break any law, or help anyone else break one.
- Publish or invoke a service that infringes intellectual property, privacy, or publicity rights.
- Distribute malware, run phishing, or attack any system.
- Collect, sell, or expose personal data without a lawful basis.
- Offer a regulated service, such as lending, money transmission, investment advice, or gambling, without the licences it requires.
- Produce or distribute child sexual abuse material, content that promotes violence or terrorism, or instructions for weapons capable of mass harm.
- Move value between people, launder money, or evade sanctions, including by invoking your own services to cycle credits into earnings, except as Section 8.2 allows.
- Inflate a service's metrics or ranking with fake or self-directed invocations, except as Section 8.2 allows.
- Farm free credits: create or control more than one account or owner to claim free credits, or spend one owner's free credits on services published by another owner you control.
- Get around spend limits, rate limits, or other controls.
- Probe, scan, or test the security of Varis without our written permission. Report vulnerabilities to security@usevaris.com.
- Interfere with the Platform or other users, or access it through anything other than our published interfaces.
8.1 Sanctions. You can't use Varis if you are located in, or ordinarily resident in, a country subject to comprehensive US sanctions, or if you appear on a US sanctions list.
8.2 Testing your own services. Your owner may spend its own free credit on its own services, to test them. Those invocations earn like any other. This covers only an owner's free credit spent on that same owner's services; it never covers free credits from another owner, or credits you buy.
9. Intellectual property
9.1 Ours. We own the Platform and the Varis name and marks. These Terms give you the right to use the Platform, not ownership of it.
9.2 Open source. The Varis SDKs and CLI are open source. Their own licences, not these Terms, govern your use of their code.
9.3 Yours. You keep all rights in your services, the inputs your agents send, and the outputs you receive. You give us the rights we need to operate the Platform for you, including storing, transmitting, and processing that content.
9.4 Feedback. If you send us ideas or suggestions, we can use them without paying you or owing you anything.
10. Suspension and termination
10.1 Closing your account. You can close your account at any time by emailing hello@usevaris.com. Closing it revokes every credential and unpublishes every service.
10.2 Suspension. We may suspend your account, an agent, or a service if you breach these Terms, if we suspect fraud or abuse, if a payment fails or is disputed, or if the law requires it. We tell you why, unless the law or an investigation prevents it, and we restore access once the issue is resolved.
10.3 Termination by us. We may close your account for a serious or repeated breach of these Terms. We may also close it without cause on 30 days' notice. If we close it without cause, we refund your unspent paid credits in cash.
10.4 What happens to your money. When your account closes:
- Unspent paid credits are forfeited, except as Section 10.3 provides or the law requires.
- Earnings that are not held under Section 7.13 are paid out on the normal schedule, once you have completed payout onboarding.
10.5 Survival. Sections 5.4, 7.12, 7.13, 9, 11, 12, and 13 survive the end of these Terms.
11. Disclaimers, liability, and indemnity
11.1 Disclaimer. We provide the Platform "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We don't promise that the Platform or any service will be uninterrupted, error-free, or secure.
11.2 Services are the provider's. We are not responsible for any service, its output, or anything a provider does or fails to do. Your remedy for a failed invocation is the reversal in Section 6.4.
11.3 Excluded damages. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if warned they were possible.
11.4 Liability cap. Our total liability for all claims relating to these Terms or the Platform is limited to the greater of US$100 and the platform fees Varis earned from your account in the 12 months before the event that gave rise to the claim.
11.5 What the cap doesn't limit. Sections 11.3 and 11.4 do not limit our obligation to pay you earnings you are owed, to return credits for reversed invocations, or any liability the law doesn't allow us to limit.
11.6 Indemnity. You will defend and compensate Varis, its officers, and its employees against third-party claims, and the costs that come with them, arising from:
- A service you publish, including its outputs and how it handles data.
- Invocations made with your credentials.
- Your breach of these Terms or of the law.
12. Disputes and arbitration
12.1 Governing law. The laws of the State of Delaware govern these Terms, without regard to its conflict-of-law rules. The Federal Arbitration Act governs Section 12.
12.2 Talk to us first. Before starting arbitration, send a written description of your claim to legals@usevaris.com. We do the same with you. If we haven't resolved it within 60 days, either of us can start arbitration.
12.3 Binding arbitration. Any dispute relating to these Terms or the Platform is resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. Hearings take place by video unless the arbitrator decides otherwise, and any in-person hearing takes place in Wilmington, Delaware.
12.4 Exceptions. Either of us can bring an individual claim in small claims court, or ask a court for an injunction to protect intellectual property or stop unauthorised use of the Platform.
12.5 No class actions. You and Varis each bring claims only individually, never as a plaintiff or class member in a class, collective, or representative action. If a court finds this waiver unenforceable for a claim, that claim goes to court, not arbitration.
12.6 Opting out. You can opt out of arbitration by emailing legals@usevaris.com within 30 days of first accepting these Terms. Include your name and account email. If you opt out, disputes go to the state or federal courts in Delaware, and you consent to their jurisdiction.
12.7 Time limit. You must bring any claim within one year of the event that gave rise to it, unless the law requires a longer period.
13. General
13.1 Entire agreement. These Terms, the Privacy Policy, and any written agreement with us about fees are the whole agreement between you and Varis about the Platform.
13.2 Assignment. You can't transfer these Terms without our written consent. We can transfer them to an affiliate or to a company that acquires Varis or its business, including a future company formed to operate Varis.
13.3 Events beyond control. Neither of us is liable for delay or failure caused by events outside reasonable control, such as outages at our hosting or payment providers.
13.4 Notices. We send notices to the email address on your account. You send legal notices to legals@usevaris.com.
13.5 Other terms. If we don't enforce a right, we haven't waived it. If a court finds any part of these Terms unenforceable, the rest still applies. Nothing in these Terms creates a partnership, employment, or agency relationship.
13.6 Contact.
